01Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Heinrichs Software Solutions Company, a Florida corporation ("Company," "we," "us," or "our"). These Terms govern your access to and use of our website at heinrichstech.com (the "Site") and all related services, including but not limited to our AI chatbot services, software development services, and managed AI solutions (collectively, the "Services").

By creating an account, subscribing to our Services, or otherwise using our Site, you represent that:

• You are at least 18 years of age
• You have the legal capacity to enter into a binding contract
• If acting on behalf of a business, you have the authority to bind that entity to these Terms
• You will comply with all applicable laws and regulations

02Description of Services

2.1 AI Chatbot Services

Our primary service is the development, deployment, and management of custom AI chatbots for business websites. This includes:

• Custom Configuration: AI chatbots trained on your business information, FAQs, and use cases
• Deployment: Integration of the chatbot widget onto your website
• Managed Hosting: Cloud-based hosting and infrastructure management
• AI Processing: Access to AI language models for natural conversation
• Dashboard Access: Self-service portal for managing chatbot settings and viewing analytics
• Support: Technical support and maintenance as specified in your service plan

2.2 Service Plans

We offer multiple service plans with varying features and pricing:

03Account Registration and Security

3.1 Account Creation

To access certain features of our Services, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. We are not liable for any loss or damage arising from your failure to protect your account information.

04Payment Terms

4.1 Fees and Billing

By subscribing to a paid Service plan, you agree to pay all applicable fees as follows:

• Setup Fees: One-time fees are charged at the time of subscription and are non-refundable once work has commenced
• Monthly Fees: Recurring fees are billed monthly in advance on the same date each month
• Taxes: All fees are exclusive of applicable taxes, which will be added to your invoice as required by law

4.2 Payment Methods

We accept payment via credit card, debit card, and other methods as indicated during checkout. All payments are processed securely through Stripe, Inc. By providing payment information, you authorize us to charge your payment method for all fees incurred.

4.3 Failed Payments

If a payment fails, we will attempt to charge your payment method again. If payment continues to fail:

• We may suspend your access to Services after 7 days of non-payment
• We may terminate your account after 30 days of non-payment
• You remain liable for all unpaid fees plus any collection costs

4.4 Refund Policy

Refunds are handled as follows:

• Setup Fees: Non-refundable once chatbot configuration has begun. Refundable within 48 hours if no work has started.
• Monthly Fees: No refunds for partial months. You may cancel at any time, and your service will continue until the end of the current billing period.
• Trial Accounts: Trial accounts have no fees and therefore no refunds.

05Acceptable Use Policy

You agree not to use our Services to:

• Violate any applicable law, regulation, or third-party rights
• Transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Impersonate any person or entity or misrepresent your affiliation
• Engage in any activity that interferes with or disrupts our Services or servers
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use automated means (bots, scrapers, etc.) to access our Services without permission
• Transmit viruses, malware, or other harmful code
• Use the chatbot to generate spam, phishing content, or misleading information
• Collect or harvest user data without proper consent
• Resell, sublicense, or redistribute our Services without authorization

We reserve the right to suspend or terminate your account for violations of this Acceptable Use Policy without refund.

06Intellectual Property

6.1 Our Intellectual Property

All content, features, and functionality of our Services, including but not limited to software, code, designs, text, graphics, logos, and trademarks, are owned by Heinrichs Software Solutions Company and are protected by United States and international intellectual property laws.

6.2 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use our Services for your internal business purposes
• Embed our chatbot widget on your website(s) as specified in your service plan
• Use our dashboard to manage your chatbot configuration

This license terminates automatically upon termination of your account or these Terms.

6.3 Your Content

You retain ownership of all content you provide to us for chatbot training ("Your Content"), including business information, FAQs, product descriptions, and other materials. By providing Your Content, you grant us a non-exclusive, worldwide, royalty-free license to use, copy, process, and display Your Content solely for the purpose of providing our Services to you.

6.4 Feedback

If you provide us with feedback, suggestions, or ideas regarding our Services, you grant us the right to use such feedback without restriction or compensation to you.

07Data Processing and Privacy

7.1 Privacy Policy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

7.2 Data Processing Agreement

When we process personal data on your behalf through our chatbot services, we act as a data processor. The following terms apply:

• We will process data only in accordance with your documented instructions
• We will implement appropriate technical and organizational security measures
• We will notify you promptly of any data breach affecting your data
• We will delete or return your data upon termination of services, upon request

7.3 Your Responsibilities

As the data controller for information collected through your chatbot, you are responsible for:

• Providing appropriate privacy notices to your website visitors
• Obtaining any necessary consent for data collection
• Complying with applicable data protection laws
• Ensuring that your use of our Services complies with your own privacy policies

08Service Level and Availability

8.1 Uptime

We strive to maintain 99.9% uptime for our Services. However, we do not guarantee uninterrupted service and are not liable for any downtime caused by:

• Scheduled maintenance (we will provide reasonable notice when possible)
• Third-party service outages (AWS, AI providers, etc.)
• Circumstances beyond our reasonable control
• Your equipment, network, or internet connection

8.2 AI Model Providers

Our chatbot services utilize third-party AI models (OpenAI, Anthropic, Google, etc.). We implement automatic failover between providers to maximize availability, but we are not liable for limitations, changes, or outages of these third-party services.

11Indemnification

You agree to defend, indemnify, and hold harmless Heinrichs Software Solutions Company and its officers, directors, employees, agents, licensors, and suppliers from and against any claims, actions, demands, damages, costs, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of our Services
• Your Content or the content displayed by your chatbot
• Your violation of these Terms
• Your violation of any applicable law or third-party rights
• Any claim that your use of the Services caused damage to a third party

12Term and Termination

12.1 Term

These Terms are effective upon your first use of our Services and continue until terminated.

12.2 Termination by You

You may terminate your account at any time by:

• Canceling your subscription through the dashboard
• Contacting us at contact@heinrichstech.com

Upon cancellation, your service will continue until the end of the current billing period, after which your chatbot will be deactivated.

12.3 Termination by Us

We may suspend or terminate your access to the Services immediately, without prior notice, if:

• You breach these Terms
• You fail to pay fees when due
• We are required to do so by law
• We discontinue the Services (with reasonable notice)

12.4 Effect of Termination

Upon termination:

• Your right to use the Services immediately ceases
• Your chatbot will be deactivated and removed from your website
• We may delete your data after 30 days (you may request export before termination)
• You remain liable for any unpaid fees
• Sections 6, 9, 10, 11, 13, and 14 survive termination

13Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

13.2 Informal Resolution

Before filing any formal dispute, you agree to contact us at contact@heinrichstech.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days.

13.3 Arbitration Agreement

If we cannot resolve a dispute informally, any controversy or claim arising out of or relating to these Terms shall be settled by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Florida, and judgment on the award may be entered in any court having jurisdiction.

13.4 Class Action Waiver

YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

13.5 Small Claims Court

Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court's jurisdiction.

14General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and us regarding the Services.

14.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

14.5 Notices

We may provide notices to you via email to the address associated with your account or by posting on the Site. You may provide notices to us at the contact information below.

14.6 Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, strikes, natural disasters, or government actions.

14.7 Modifications

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or by posting a notice on our Site at least 30 days before the changes take effect. Your continued use of the Services after such notice constitutes your acceptance of the modified Terms.
